Terms of Service

1. Acceptance of Terms

By accessing or using any service provided by Acolyte Technologies Limited ("Acolyte"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Services

Acolyte provides IT services, software products, and consulting services as described on our website. The specific terms of each engagement are governed by a separate Statement of Work or Software Licence Agreement signed between Acolyte and the client.

3. Intellectual Property

All software products owned by Acolyte Technologies (AcoERP, AcoLoan, AcoSchool, Medicare, and others) remain the intellectual property of Acolyte. Clients receive a licence to use the software, not ownership of the source code, unless explicitly agreed in writing.

4. Payment Terms

Payment terms are specified in individual contracts. Generally, setup fees are payable before project commencement, and monthly licence fees are payable in advance. Late payments may attract interest at 2% per month.

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of engagement. This obligation survives termination of the contract.

6. Limitation of Liability

To the maximum extent permitted by Ugandan law, Acolyte's liability for any claim arising from our services shall not exceed the total fees paid by the client in the preceding 3 months. Acolyte shall not be liable for indirect, consequential, or punitive damages.

7. Warranties

Acolyte warrants that services will be performed in a professional and workmanlike manner. We do not warrant that software will be error-free. Defects reported within the warranty period (as specified in the contract) will be remedied at no charge.

8. Termination

Either party may terminate a service agreement with 30 days written notice. Acolyte may terminate immediately for non-payment or material breach of these terms.

9. Governing Law

These terms are governed by the laws of Uganda. Disputes shall be resolved through arbitration in Kampala, Uganda, in accordance with the Arbitration and Conciliation Act.
